Terms of Service

This document governs the operational use of the “Dentu” platform by any person accessing it (the “User”), within the framework of the contractual relationship between Eucalyptus AR SAS (the “Provider”) and the relevant dental clinic or practice (the “Client”). These Terms of Service are incorporated by reference into the SaaS Services Agreement signed by the Client, and additionally govern all staff the Client authorizes to operate the Platform.
1. Platform access and user accounts
1.1. The Client's environment and initial administrator account are created by the Provider as part of the onboarding process described in the Contract; there is no open self-registration for new clients on the Platform.
1.2. Through its administrator account, the Client may create additional user accounts for its staff, and is responsible for setting the access levels and permissions for each role.
1.3. Each User accepts these Terms of Service upon first accessing the Platform with their credentials. The Client is responsible for ensuring its staff is aware of and accepts these Terms before operating the Platform.
1.4. Each User is responsible for safeguarding and keeping their credentials confidential, as well as for all activity carried out under their account. The Client will be responsible to the Provider for all activity carried out by its staff within its environment.
2. Acceptable use and prohibitions
2.1. The User agrees to use the Platform solely for the administrative, clinical, and operational management of dental clinics and practices, refraining from any unlawful, fraudulent, or bad-faith use.
2.2. The following is expressly prohibited: (a) reverse engineering, decompiling, or disassembling the Software; (b) reselling, sublicensing, assigning, or leasing access to the Platform without the Provider's prior written authorization; (c) using the Platform for purposes unrelated to the Client's dental practice; (d) compromising Platform security; (e) sending unsolicited communications (spam) or content that infringes third-party rights.
2.3. Breach of these prohibitions entitles the Provider to suspend the User's and/or Client's access, without prejudice to any applicable legal action.
3. Information security and patient record custody
3.1. The Provider implements technical and organizational security measures (data encryption, access control, a dedicated and segregated environment per Client, periodic backups) to protect information hosted on the Platform, including clinical records.
3.2. Health data is processed by the Provider, acting as data processor, in accordance with the Client's instructions, as detailed in the Privacy Policy.
3.3. In the event of a security incident affecting data within the Client's environment, the Provider will notify the Client without undue delay.
3.4. The Client is responsible for properly configuring its staff's access levels and for ensuring the use of secure passwords.
4. Changes to the service or pricing
4.1. The Provider may modify or improve Platform features at any time, seeking to avoid materially affecting the essential features contracted.
4.2. Any material change to the Service or subscription pricing will be notified to the Client at least 30 calendar days in advance.
4.3. If the Client disagrees, it may exercise its termination right under the Contract before the change takes effect. Continued use of the Platform after that date constitutes acceptance of the changes.
4.4. The Provider may unilaterally update these Terms of Service, publishing the current version on this site.
5. Governing law and dispute resolution
5.1. These Terms are governed by the laws of Argentina.
5.2. The parties will make good-faith efforts to resolve any dispute amicably.
5.3. If no amicable resolution is reached, the parties submit to the jurisdiction of the ordinary commercial courts of the City of Buenos Aires, waiving any other venue.
6. Final provisions
6.1. The invalidity of any clause does not affect the validity of the remaining provisions.
6.2. This document is incorporated by reference into the SaaS Services Agreement and the Privacy Policy.
